POWER AND DUTIES OF OFFICERS

National President
The President shall be the Chief Executive Officer of ABLE, Chair of the National Board of Directors and Ex-Officio member of all National Standing Committees, except the Nominations and Elections Committees.  The President shall preside at meetings of ABLE and The National Board of Directors.  The President shall exercise general supervision of the affairs of ABLE and shall ensure the enforcement of the rules and regulations of ABLE.  The President shall make an Annual Report to the members of ABLE on behalf of the National Board of Directors.  The President shall have such other powers and duties as may be prescribed by the National Board of Directors.

National Executive Vice President
The Executive Vice-President shall serve as Chair of the Strategic Planning Committee, at the discretion of the President and National Board of Directors.  In case of the absence or disability of the President, the Executive Vice-President shall perform the duties of the President.  The Executive Vice-President shall have such other powers and duties as may be prescribed by the President or the National Board of Directors.

National Secretary
The Secretary shall be responsible for minutes of all meetings of ABLE an the National Board of Directors.  The Secretary shall give notice of all meetings requiring notice and keep a record of all proceedings of all meetings.  The Secretary shall also perform all other duties ordinarily pertaining to the Office of Secretary as may be prescribed by the President and the National Board of Directors.

National Treasurer
The Treasurer shall have general supervision of the financial affairs of ABLE, and shall have power to disburse such funds of ABLE as agreed to  by the National Board of Directors.  The Treasurer shall perform all duties incident to that office and such other duties as may be assigned to that office by the President of the National Board of Directors.  Unless otherwise ordered by resolution adopted by the National Board of Directors,  the Treasurer shall have signatory rights for checks, drafts or other orders of ABLE for the payment of money.

The Treasurer shall make reports to the National Board of Directors in such form and frequency as the Board may direct, including an Annual Financial Report to the members of ABLE.  Subject to such arrangements as the National Board of Directors may approve, the Treasurer shall Exercise general supervision of the Financial Steering Committee. The Treasurer shall have such other powers and duties as may be prescribed by the President and the National Board of Directors.

Vice President of Operations
The Vice President (VP) Operations shall be responsible for activities designed to support its role as a positive resource in the communities where ABLE members reside and work.  The VP Operations shall be responsible for creating positive awareness of ABLE activities and accomplishments both internally and externally.  The VP Operations shall be responsible for planning and administering income generating programs, including the design and implementation strategy of all fund raising activities having Board approval.  The VP Operations shall be responsible for developing the products and services of ABLE.  The VP Operations shall manage the continued development of the infrastructure and growth of ABLE.

Each VP of Operations shall be assigned to exercise general supervision of the Standing Committees of ABLE.  The VP of Operations shall serve as a member of the committees assigned and shall have such other powers and duties as may be prescribed by the President and the National Board of Directors.

Regional Vice Presidents
The Regional Vice Presidents shall be responsible for the planning, development and management of activities specific to the region.  The Regional Vice Presidents shall support the regional council and serve as Council Chairs/Vice Chairs in accordance with Section 4.3.2 of the National ABLE by-laws.

Executive Director
The Executive Director(s) shall be the administrative officer(s) of the organization, functioning under the direction of the President and the National Board of Directors.

The Executive Director(s) shall exercise general and active supervision over the property, business affairs, and employees of ABLE . The Executive Director(s) shall also be responsible for the day-to-day operation and management of ABLE, and shall perform such other duties as may be prescribed by the National Board of Directors and/or the President. These duties may be enlarged or restricted by a majority vote of the National Board of Directors. These duties shall be detailed in a job description for the Executive Director position(s).
